Terms of Service

1. Introduction

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you") and Ethink Ltd ("we," "us," "our").

By creating an account, downloading the App, or accessing our Service, you confirm that you accept these Terms and agree to comply with them. If you do not agree, you must not use our Service.

These Terms apply to all users of the Service, including users who are also contributors of content, information, and other materials or services on the App.

2. Changes to Terms

We amend these Terms from time to time. Every time you wish to use our Service, please check these Terms to ensure you understand the terms that apply at that time.

For significant changes (such as price increases or changes to data usage), we will notify you by email or via a prominent notice in the App at least 30 days before the changes take effect.

3. Account Security

You must treat your account login details as confidential. You must not disclose them to any third party.

We have the right to disable any user identification code or password if, in our reasonable opinion, you have failed to comply with any of the provisions of these Terms.

4. Subscriptions and Automatic Renewals

Subscription Plans: The Service offers various subscription levels ("Subscription"), including monthly and annual options. The pricing and specific features of each Subscription are displayed at the point of purchase.

Automatic Renewal: Your Subscription will automatically renew at the end of each billing period (e.g., each month or year) unless you cancel it. You authorize us to charge the applicable subscription fee to your registered payment method at the start of each renewal period.

Renewal Reminders: For any Subscription with a renewal period of 12 months or more, or where a free trial converts to a paid Subscription, we will send you a reminder notice via email prior to the renewal date. This notice will state the renewal price and provide instructions on how to cancel.

Price Changes: We may change the price of our Subscriptions from time to time. We will communicate any price changes to you in advance. Price changes will take effect at the start of the next subscription period following the date of the price change. If you do not agree with the price change, you have the right to reject it by unsubscribing from the Service prior to the price change going into effect.

5. Cancellation and Refunds

Statutory Cooling-Off Right: If you are a consumer based in the UK or EU, you have a legal right to change your mind and cancel this contract within 14 days of the date of your purchase ("Cooling-Off Period") without giving any reason.

Waiver for Digital Content: By purchasing a Subscription for digital content (e.g., immediate access to App features) and clicking the "Pay" or "Subscribe" button, you expressly request that the supply of the digital content begins immediately. You acknowledge that by this commencement, you lose your right to cancel the contract and receive a refund once the download or streaming of the content has begun.

How to Cancel ("Easy Exit"): You may cancel your Subscription at any time through your account settings in the App or by contacting us at hello@untl.app. If you signed up via a third-party app store (Apple App Store or Google Play), you must cancel through their subscription management tools.

Effect of Cancellation: If you cancel after the Cooling-Off Period (or after waiving it), your cancellation will take effect at the end of the current billing period. You will continue to have access to the Service until that time, and no refund will be issued for the remaining days.

6. License and Intellectual Property

Our IP: We own or are the licensee of all intellectual property rights in our Service, and in the material published on it (including the underlying code, design, and algorithms).

Data Usage for Improvements: You acknowledge that we may use your usage data and interaction patterns in an anonymized and aggregated form to analyze trends, test new features, and train our machine learning models to improve the Service. Such anonymized data does not identify you personally and is owned by us.

7. User Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any local, state, national, or international law.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App.
  • Share your account credentials with others to avoid paying for multiple Subscriptions.

8. Limitation of Liability

Foreseeable Loss: If we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking this contract or our failing to use reasonable care and skill.

Business Losses: We only supply the Service for domestic and private use. If you use the Service for any commercial, business, or re-sale purpose, we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

Exclusions: We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or for fraud.

9. Governing Law

These Terms are governed by English law. You can bring legal proceedings in the English courts. If you live in Scotland, you can bring legal proceedings in either the Scottish or the English courts. If you live in Northern Ireland, you can bring legal proceedings in either the Northern Irish or the English courts.

If you are a consumer resident in the European Union, you will benefit from any mandatory provisions of the law of the country in which you are resident. Nothing in these Terms, including this governing law clause, affects your rights as a consumer to rely on such mandatory provisions of local law.
